Where should I base my offshore e-commerce company?

Dear Experts, My wife, tomoko, is Japanese, I am American. We live in California. Tomoko has a sister and parents in japan. Tomoko and her sister plan to start an online retail website selling organic only apparel and cotton products to sell to Japanese customers in Japan. The question is which type of company to start up and base it from where for the best overall tax advantage? What about an offshore corp. to be a parent company? How do we take income in california for money earned in Japan? We would like to keep most of the money we earn. please advise. thanks, richard
