Bainbridge on the Stakes Disclosure, and Tipping The "Intimate"

By Gordon Smith, Christine, Hurt, Vic Fleischer, Fred Tung, Lisa Fairfax, David Zaring

  • I complained about the possibility that the SEC may shorten the Schedule 13D ten day window - and add a two day standstill, if Wachtell Lipton has its way - here, and wondered what Bainbridge thought about the question.  If you haven't seen it, here's the bottom line from the professor:
    • The reasonable solution, it seems to me, is to reduce the 10 day day filing to, say, two days but with no standstill requirement. The modest number of shares a bidder is likely to pick up during the two day pre-fling period simply doesn't pose serious risks of abuse in most cases.
  • One of the racier aspects of the Galleon hedge fund trial is that one of Rajnaratam's associates, a glamorous blonde, apparently/allegedly had affairs with two of the insiders, who then furnished her with tips.  As you might imagine, Dealbreaker has been all over that aspect of the case.  Is that insider trading, given that the insider made no money from the trades by the tippees?  Does the Securities and Exchange Commission, to put it another way, police matters of the heart?  Bainbridge has the answer to that as well.
